Terms of Service

1. About These Terms
These Terms of Service govern your use of trinawaller.com and any engagement with Trina Waller Marketing (“TWM,” “I,” “me”). By accessing this website or entering into an engagement, you agree to these terms.
For all client engagements, a separate signed Service Agreement governs the specific scope, deliverables, timeline, and fees. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement prevails.
2. Services
Trina Waller Marketing provides fractional CMO services, strategic marketing assessments, and related consulting services to businesses operating in regulated and compliance-sensitive industries. Services are delivered remotely across Canada.
All engagements begin with a paid Strategic Assessment. Fractional CMO retainer engagements are offered following completion of the assessment, at my sole discretion and subject to mutual agreement.
3. Engagements & Payment
Strategic Assessments are scoped, fixed-fee engagements. Full payment or a deposit as specified in your Service Agreement is required prior to commencement of work.
Fractional CMO Retainer Engagements are billed monthly in advance. Retainer fees are due on the date specified in your Service Agreement. Engagements are structured as a minimum six-month commitment unless otherwise agreed in writing.
Accepted payment methods: Electronic funds transfer (e-transfer) and credit card. Payment details will be confirmed in your Service Agreement or invoice.
Late payments: Invoices unpaid beyond 14 days of the due date are subject to a 2% monthly late fee. I reserve the right to suspend work on active engagements until outstanding balances are resolved.
4. Cancellation & Termination
Cancellation terms are governed by your signed Service Agreement. Generally:
- Strategic Assessments are non-refundable once work has commenced.
- Retainer engagements require written notice as specified in your Service Agreement. Fees for the notice period remain payable in full.
- I reserve the right to terminate an engagement with written notice if payment obligations are not met or if the working relationship is no longer tenable.
5. Intellectual Property
Your content: All materials, data, and information you provide remain your property.
My work product: Strategic recommendations, marketing systems, frameworks, and deliverables produced under a signed Service Agreement become your property upon receipt of full payment for that engagement, unless otherwise specified.
My proprietary methods: The methodologies, frameworks, and processes I use to develop deliverables remain my intellectual property. Deliverables are licensed to you for your business use; they do not transfer the underlying methodology.

6. Confidentiality
I treat all client information as confidential. I do not disclose client-specific information to third parties without your consent, except as required by law.
I may reference the nature of an engagement (industry, general scope, outcomes) in anonymized case studies or portfolio materials unless you have requested otherwise in writing.
7. Limitation of Liability
Marketing strategy involves inherent uncertainty. I bring nearly 20 years of experience and operate with rigour and care — but I cannot guarantee specific revenue outcomes, regulatory approvals, or business results.
To the fullest extent permitted by applicable law, TWM’s liability for any claim arising out of an engagement is limited to the fees paid for the specific engagement giving rise to the claim.
I am not liable for indirect, consequential, or incidental damages, including lost profits or lost opportunities.
8. Independent Contractor
I operate as an independent contractor. Nothing in these Terms or any Service Agreement creates an employment, partnership, or joint venture relationship.
9. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of British Columbia.
10. Changes to These Terms
I may update these Terms from time to time. Material changes will be noted by updating the “Last Updated” date above. Continued use of this website or engagement with TWM following an update constitutes acceptance of the revised Terms.
